Terms of Service

These Terms of Service (“Terms”) govern your use of the website at zhivayarech.com and the educational programs, classes, and services, online and in person, provided by Zhivaya Rech (“Живая речь,” “the Studio,” “we,” “us,” or “our”). By creating an account, enrolling a child, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and the parent or legal guardian of any child you enroll. You are responsible for keeping your account information accurate and for all activity under your account. We use passwordless “magic link” sign-in by email; keep your email account secure. You may not share your account or use another person’s account.
2. Enrollment, groups, and waitlists
Enrollment in a course is confirmed based on available seats at the time of registration. When a course is full, you may join a waitlist; if a seat becomes available, enrollment may be offered automatically in waitlist order. While you complete checkout, a seat may be held for you on a pending basis and released if payment is not completed in time. We may set minimum and maximum group sizes and may reschedule, combine, or cancel a group that does not meet minimum enrollment.
3. Fees, payments, and subscriptions
Fees are shown at the point of enrollment. Online card payments are processed by our payment processor, Stripe. Where a manual payment method is offered, your seat may be held pending confirmation of payment and released if it is not confirmed within the stated time.
Some courses are billed once; others are billed as a recurring monthly subscription. Subscriptions renew automatically each billing period until you cancel. You may cancel a subscription at any time through your account or the customer billing portal; cancellation stops future charges and does not retroactively refund the current period unless required by our Refund & Cancellation Policy or by law. If a payment fails, we may retry the charge and may suspend access until the balance is resolved.
Refunds and cancellations are governed by our separate Refund & Cancellation Policy, which is incorporated into these Terms.
4. In-person programs
Enrollment in an in-person program requires acceptance of our In-Person Liability Waiver & Release before the child attends. You are responsible for providing accurate and current information about your child’s allergies, medical conditions, and any other matters relevant to safety. Online programs do not require the waiver.
5. Conduct and participation
We want a safe, positive environment for every child. We may decline, suspend, or end a child’s participation, with or without a refund as provided in the Refund & Cancellation Policy, where conduct by a child or a parent/guardian is disruptive, unsafe, abusive, or otherwise incompatible with the program. You agree to follow reasonable studio rules and instructions communicated to you.
6. Communications
By creating an account you agree to receive service-related communications (such as sign-in links, confirmations, receipts, schedules, and important notices) by email as a necessary part of the Service. Marketing or newsletter emails are sent only if you opt in, and you may opt out at any time. Our handling of your information is described in our Privacy Policy.
7. Intellectual property
The Service and its content — including text, curriculum, materials, logos, and design — are owned by the Studio or its licensors and are protected by law. We grant you a limited, personal, non-transferable, revocable license to use the website and provided materials solely for your family’s participation in our programs. You may not copy, redistribute, resell, or create derivative works from our materials without our written permission.
8. Acceptable use
You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with its operation or security, scraping or harvesting data, uploading harmful code, or using the Service for any unlawful purpose.
9. Disclaimers
The website and online Service are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free. Our educational programs are enrichment activities and are not a substitute for professional medical, psychological, or speech-language evaluation or therapy.
10. Limitation of liability
To the fullest extent permitted by California law, the Studio and its owners, instructors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of the website or online Service, and our total liability for any claim relating to the website or online Service will not exceed the amount you paid to us for the service giving rise to the claim in the twelve months before the claim. Risks of physical participation in in-person activities are addressed in the In-Person Liability Waiver & Release. Nothing in these Terms limits any rights or remedies that cannot be limited or waived under California law.
11. Indemnification
To the fullest extent permitted by California law, you agree to indemnify and hold harmless the Studio and its owners, instructors, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Service, except to the extent caused by our gross negligence or willful misconduct.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the Effective Date and, where appropriate, ask you to re-accept. Your continued use of the Service after an update constitutes acceptance of the updated Terms.
13. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in California, and you consent to their jurisdiction.
14. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
